Resolutions of the Sole Director
of
First Anglo-American Developments, Inc.
A British Virgin Islands International Business Company
I, the undersigned, being the sole Director of First Anglo-American Developments,
Inc. (hereafter the "Company") have
RESOLVED under the terms of Articles of Association of the Company:
1. THAT the Company was incorporated in the Territory of the British
Virgin Islands as an International Business Company on the 18th day of
May 1999.
2. THAT the registered office of the Company be at Woodbourne Hall, Road
Town, Tortola, British Virgin Islands.
3. THAT Apax Trust Company Limited be the registered agent of the Company.
4. THAT the Subscribers to the Memorandum of Association have appointed
Patrizia Lanza as the first Director of the Company, and that the said
appointment is hereby ratified and confirmed.
5. THAT the common seal, an impression of which is hereto affixed on
the margin hereof, be hereby adopted as the common seal of the Company.
